Orders &#038; Contracts<\/h2>\n                <p>All orders placed with TIIOCTI (&#8220;The Seller&#8221;) are subject to acceptance by the Seller. An order is considered legally binding only upon the issuance of a Proforma Invoice (PI) signed by both parties.<\/p>\n                <p>Any changes to the order specifications (quantity, design, material) after the PI is signed must be requested in writing and may be subject to additional costs or production delays.<\/p>\n            <\/div>\n\n            <div id=\"t-payment\" class=\"term-block\">\n                <h2>2. Payment Terms<\/h2>\n                <p>Unless otherwise agreed in writing, our standard payment terms for OEM manufacturing are:<\/p>\n                <ul>\n                    <li><strong>Deposit:<\/strong> 30% T\/T (Telegraphic Transfer) upon signing the Proforma Invoice. Production begins only after receipt of the deposit.<\/li>\n                    <li><strong>Balance:<\/strong> 70% T\/T before shipment (Ex-Works) or against copy of Bill of Lading (FOB\/CIF terms).<\/li>\n                <\/ul>\n                <p>For orders below $5,000 USD, full payment is required in advance to minimize bank fees.<\/p>\n            <\/div>\n\n            <div id=\"t-production\" class=\"term-block\">\n                <h2>3. Production &#038; Lead Times<\/h2>\n                <p>Lead times quoted are estimates based on current factory capacity. Standard lead times (approx. 15-25 days) commence from the date of:<\/p>\n                <ul>\n                    <li>Receipt of the deposit AND<\/li>\n                    <li>Final approval of digital mockups or physical pre-production samples.<\/li>\n                <\/ul>\n                <p>The Seller is not liable for delays caused by Force Majeure events, including but not limited to raw material shortages, shipping port congestion, or customs delays.<\/p>\n            <\/div>\n\n            <div id=\"t-tolerance\" class=\"term-block\">\n                <h2>4. Manufacturing Tolerances<\/h2>\n                <p>Due to the nature of mass production in industrial textiles and plastics, the Buyer accepts the following standard industry tolerances:<\/p>\n                <ul>\n                    <li><strong>Quantity (Over\/Under Run):<\/strong> \u00b15% of the ordered quantity. The final invoice will be adjusted based on the actual quantity shipped.<\/li>\n                    <li><strong>Dimensions:<\/strong> \u00b15mm to \u00b110mm variance in bag size due to cutting and sewing processes.<\/li>\n                    <li><strong>Color:<\/strong> Pantone (PMS) matching is approximate. A Delta-E value of < 3.0 is considered acceptable for industrial printing.<\/li>\n                <\/ul>\n            <\/div>\n\n            <div id=\"t-shipping\" class=\"term-block\">\n                <h2>5. Shipping &#038; Incoterms<\/h2>\n                <p>All trade terms are defined according to Incoterms\u00ae 2020.<\/p>\n                <ul>\n                    <li><strong>FOB (Free on Board):<\/strong> Risk passes to the Buyer once goods are loaded on the vessel at the port of origin (e.g., Ningbo\/Shanghai).<\/li>\n                    <li><strong>CIF (Cost, Insurance, Freight):<\/strong> Seller arranges shipping to the destination port. Risk passes to Buyer once goods are on the vessel.<\/li>\n                    <li><strong>DDP (Delivered Duty Paid):<\/strong> Seller bears all risks and costs, including duties and taxes, until goods are delivered to the Buyer&#8217;s warehouse.<\/li>\n                <\/ul>\n            <\/div>\n\n            <div id=\"t-plates\" class=\"term-block\">\n                <h2>6. Molds &#038; Printing Plates<\/h2>\n                <p>Copper cylinders (for Gravure printing) and Silk Screens remain the property of the Buyer once paid for. The Seller agrees to store these plates free of charge for a period of 24 months from the last order date.<\/p>\n                <p>If no re-orders are placed within 24 months, the plates may be recycled. Plate charges are one-time fees for the same design.<\/p>\n            <\/div>\n\n            <div id=\"t-claims\" class=\"term-block\">\n                <h2>7. Quality Claims &#038; Returns<\/h2>\n                <p>The Buyer must inspect goods within 7 days of arrival. Any claims regarding quality defects or quantity discrepancies must be submitted in writing within 15 days of receiving the cargo, accompanied by photos\/videos of the defect.<\/p>\n                <p>The Seller&#8217;s liability is limited to the value of the defective goods. We reserve the right to replace defective goods or issue a credit note for future orders.<\/p>\n            <\/div>\n\n            <div id=\"t-contact\" class=\"term-block\">\n                <h2>8.
