General Terms & Conditions of Sale

1. Orders & Contracts

All orders placed with TIIOCTI (“The Seller”) are subject to acceptance by the Seller. An order is considered legally binding only upon the issuance of a Proforma Invoice (PI) signed by both parties.

Any changes to the order specifications (quantity, design, material) after the PI is signed must be requested in writing and may be subject to additional costs or production delays.

2. Payment Terms

Unless otherwise agreed in writing, our standard payment terms for OEM manufacturing are:

  • Deposit: 30% T/T (Telegraphic Transfer) upon signing the Proforma Invoice. Production begins only after receipt of the deposit.
  • Balance: 70% T/T before shipment (Ex-Works) or against copy of Bill of Lading (FOB/CIF terms).

For orders below $5,000 USD, full payment is required in advance to minimize bank fees.

3. Production & Lead Times

Lead times quoted are estimates based on current factory capacity. Standard lead times (approx. 15-25 days) commence from the date of:

  • Receipt of the deposit AND
  • Final approval of digital mockups or physical pre-production samples.

The Seller is not liable for delays caused by Force Majeure events, including but not limited to raw material shortages, shipping port congestion, or customs delays.

4. Manufacturing Tolerances

Due to the nature of mass production in industrial textiles and plastics, the Buyer accepts the following standard industry tolerances:

  • Quantity (Over/Under Run): ±5% of the ordered quantity. The final invoice will be adjusted based on the actual quantity shipped.
  • Dimensions: ±5mm to ±10mm variance in bag size due to cutting and sewing processes.
  • Color: Pantone (PMS) matching is approximate. A Delta-E value of < 3.0 is considered acceptable for industrial printing.

5. Shipping & Incoterms

All trade terms are defined according to Incoterms® 2020.

  • FOB (Free on Board): Risk passes to the Buyer once goods are loaded on the vessel at the port of origin (e.g., Ningbo/Shanghai).
  • CIF (Cost, Insurance, Freight): Seller arranges shipping to the destination port. Risk passes to Buyer once goods are on the vessel.
  • DDP (Delivered Duty Paid): Seller bears all risks and costs, including duties and taxes, until goods are delivered to the Buyer’s warehouse.

6. Molds & Printing Plates

Copper cylinders (for Gravure printing) and Silk Screens remain the property of the Buyer once paid for. The Seller agrees to store these plates free of charge for a period of 24 months from the last order date.

If no re-orders are placed within 24 months, the plates may be recycled. Plate charges are one-time fees for the same design.

7. Quality Claims & Returns

The Buyer must inspect goods within 7 days of arrival. Any claims regarding quality defects or quantity discrepancies must be submitted in writing within 15 days of receiving the cargo, accompanied by photos/videos of the defect.

The Seller’s liability is limited to the value of the defective goods. We reserve the right to replace defective goods or issue a credit note for future orders.
